CERTIFICATE OF NEWLY-ELECTED OFFICERS, $3.00. EXPEDITED SERVICE, additional $25.00 for each transaction. SERVICE OF PROCESS, $10.00. TRANSFER OF RESERVED NAME, $10.00. Uniform Commercial CodeThe Uniform Commercial Code Section of the Division of Corporate & Consumer Services at the Department of Financial Institutions examines and files documents under the Uniform Commercial Code, including statements of business indebtedness, consignments, terminations, and financing statements and maintains the statewide Uniform Commercial Code lien system. New Filing Rejection PolicyBeginning July 1, 2019, UCC documents that are received in a state that is unsuitable for filing shall be rejected by the Department. The Department will not hold filings that are awaiting corrections, revisions, additional fees or information from the filer. Any fees received that are intended for filing a rejected document will be refunded to the filer as soon as allowable under Department policy. Non-DFI EntitiesThe following types of business organization are not filed with the Department of Financial Institutions. Other public record custodians, such as the county Register of Deeds, may accept a notice or statement for record under the provisions of sections 134.17 and 178.39 of the Wisconsin Statutes. A business conducted by a sole proprietor has no existence apart from its owner. They are not filed with the department. A sole proprietor may elect to file a statement with respect to its use of a business name with the county Register of Deeds, or may file a tradename with the DFI.
